Welcome to Rae Sera. Throughout these Terms, “we,” “us,” and “our” mean Rae Sera. We operate this website and store, together with the information, content, features, tools, products, and services available through them (collectively, the “Services”), to provide your shopping experience. Our store uses Shopify to make the Services available to you.
These Terms of Service (“Terms”), along with the policies they refer to, set out the rights and responsibilities that apply when you use the Services.
Please read them carefully, particularly the provisions addressing warranties and limitations of liability.
When you visit, interact with, or otherwise use the Services, you agree to these Terms and our Privacy Policy at [https://raesera.com/policies/privacy-policy]. If you do not agree to either, you should not access or use the Services.

SECTION 1 - ACCESS AND ACCOUNT

By accepting these Terms, you confirm that you have reached the age of majority in your state or province of residence. You also consent to any of your minor dependents using the Services on devices that you own, purchase, or manage.
Browsing the store, making a purchase, or otherwise using the Services may require you to supply information such as your email address and billing, payment, and shipping details. You represent and warrant that the information you give us is accurate, up to date, and complete, and that you have all rights required to provide it.
Keeping your account credentials secure is your sole responsibility, as is all activity carried out through your account. Your account may not be transferred, sold, assigned, or licensed to another person.

SECTION 2 - OUR PRODUCTS

We make every effort to show our products and services accurately. Their colors and appearance on your screen may nevertheless vary depending on your device and its settings or configuration.
We do not warrant that a purchased product or service will match your expectations regarding appearance or quality, or that it will look the same as its representation in the store.
At our sole discretion, we may revise any product description at any time without notice. We may also discontinue a product at any time. On a case-by-case basis, we reserve the right to restrict the quantities offered to particular people, geographic regions, or jurisdictions.

SECTION 3 - ORDERS

Submitting an order constitutes an offer to buy. Acceptance occurs only when Rae Sera confirms that it has accepted your order, and we must first receive and process your payment. We may accept or decline any order for any reason at our discretion. Please check your order before submitting it. Once an order has been accepted, we may be unable to accommodate a cancellation request. If we decline, modify, or cancel an order, we will attempt to contact you using the email address, billing address, and/or telephone number supplied when you placed it.
Returns and exchanges are available solely as provided in our Refund Policy at [https://raesera.com/policies/refund-policy].
You represent and warrant that you are purchasing for your own personal or household use, rather than for commercial resale or export.

SECTION 4 - PRICES AND BILLING

We may change prices, discounts, and promotions without notice. The amount charged for a product or service is the price in effect when you place the order, as stated in your order confirmation email. Unless expressly stated otherwise, displayed prices exclude taxes, shipping, handling, customs charges, and import charges.
Our online prices may differ from those in physical stores or online or other stores operated by third parties. Some promotions offered through the Services may have their own terms and conditions. Where those promotional terms conflict with these Terms, the promotional terms take precedence.
For every purchase, you agree to provide accurate, complete, and current purchase, payment, and account information. Please promptly update information such as your email address, credit card number, and card expiration date so that we can process transactions and contact you when needed.
You represent and warrant that the credit card details you provide are true, accurate, and complete; that you are authorized to use that card for the purchase; and that your card company will honor the charges. You also agree to pay all charges at the posted prices, together with shipping and handling charges and any applicable taxes.

SECTION 5 - SHIPPING AND DELIVERY

Delivery times are estimates and are not guaranteed. We are not liable for shipping or delivery delays, including those caused by carriers, customs processing, or circumstances beyond our control. Ownership of the products and the risk of loss pass to you when we hand the products over to the carrier.

SECTION 6 - INTELLECTUAL PROPERTY

The Services and their content—including trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, as well as their design, selection, and arrangement—belong to Rae Sera, its affiliates, or its licensors. They are protected by United States and foreign patent, copyright, and other intellectual property laws.
Your permission to use the Services under these Terms is limited to personal, non-commercial use. Without our prior written consent, you must not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material available through the Services. Other than rights expressly granted in these Terms, you receive no license or other rights in any patent, trademark, copyright, or other intellectual property belonging to Rae Sera, Shopify, or a third party. Unauthorized use of the Services may violate federal or state intellectual property laws. Rae Sera reserves all rights that are not expressly granted.
The names, logos, product and service names, designs, and slogans of Rae Sera are trademarks of Rae Sera, its affiliates, or its licensors. Their use requires Rae Sera's prior written permission. Shopify's name, logo, product and service names, designs, and slogans are Shopify trademarks. Other names, logos, product and service names, designs, and slogans appearing through the Services belong to their respective trademark owners.

SECTION 7 - OPTIONAL TOOLS

The Services may give you access to tools supplied by third parties. We do not monitor, control, or have input into those tools.
You acknowledge and agree that access to such tools is provided “as is” and “as available,” without endorsement and without warranties, representations, or conditions of any kind. We have no liability arising from or relating to your use of optional third-party tools.
Using those tools is entirely a matter of your own discretion and risk. Before using them, make sure you understand and accept the terms imposed by the relevant provider.
We may introduce additional features, tools, or resources in the future. They will form part of the Services and will also be governed by these Terms.

SECTION 8 - THIRD-PARTY LINKS

You may encounter third-party materials, links to external websites, or embedded third-party functionality within the Services. We are not responsible for inspecting or assessing the accuracy or content of those materials or websites. If you leave the Services to access them, you do so at your own risk.
We are not liable for harm or damage connected with your access to a third-party website or your purchase or use of its products, services, resources, or content. Before entering into a transaction, carefully review and make sure you understand that third party's policies and practices. Questions, concerns, complaints, and claims about third-party products or services should be addressed directly to the third party concerned.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

Shopify powers our store and enables us to provide the Services. Your purchases and all sales made through the store, however, take place directly between you and Rae Sera. By using the Services, you acknowledge and agree that Shopify bears no responsibility for any aspect of a sale between you and Rae Sera, including injury, damage, or loss resulting from the products or services purchased. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or relating to your purchases and transactions with Rae Sera.

SECTION 10 - PRIVACY POLICY

Certain personal information may also be governed by Shopify's Privacy Policy at [https://www.shopify.com/legal/privacy]. By using the Services, you acknowledge that you have read these policies.
As the host of the Services, Shopify collects and processes personal information about your access to and use of them to provide and improve the Services for you. To deliver services to you, information you submit will be transmitted to and shared with Shopify and with third parties, including parties that may be located outside your country of residence. Our Privacy Policy explains further how we, Shopify, and our partners use your personal information.

SECTION 11 - FEEDBACK

“Feedback” means any ideas, suggestions, reviews, proposals, plans, feedback, or other content you submit, upload, post, email, or otherwise send. By providing Feedback, you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display it in any medium and for any purpose, including commercial purposes. For example, this license allows us to operate, provide, evaluate, enhance, improve, and promote the Services, and to fulfill our obligations and exercise our rights under these Terms.
You represent and warrant that you own or hold all necessary rights to your Feedback, that you have disclosed any compensation or incentives received in connection with submitting it, and that it complies with these Terms. We have no obligation to keep Feedback confidential, compensate you for it, or respond to it.
At our sole discretion, we may monitor, edit, or remove Feedback we consider unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, otherwise objectionable, or in violation of any party's intellectual property rights or these Terms. We are not obliged to do so.
Your Feedback must not infringe a third party's copyright, trademark, privacy, personality, or other personal or proprietary rights. It must not contain libelous, unlawful, abusive, or obscene material, or viruses or other malware capable of affecting the Services or a related website. You must not submit Feedback using a false email address, impersonate another person, or mislead us or others about its origin. You alone are responsible for the Feedback you provide and its accuracy. We accept no responsibility or liability for Feedback posted by you or any third party.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS

Information available through the Services may occasionally contain errors, inaccuracies, or omissions. These may concern, for example, product descriptions, prices, promotions, offers, shipping charges, transit times, or availability. We reserve the right to correct such information and to change or update information or cancel orders whenever information is inaccurate. We may do so at any time without prior notice, including after an order has been submitted.

SECTION 13 - PROHIBITED USES

The Services may be accessed and used only for lawful purposes. You must not, directly or indirectly: (a) use the Services for an unlawful or malicious purpose; (b) violate international, federal, provincial, state, or local laws, regulations, rules, or ordinances; (c) infringe or violate our intellectual property rights or those of others; (d) harass, abuse, insult, harm, defame, slander, disparage, or intimidate our employees or any other person; (e) transmit false or misleading information; (f) send, knowingly receive, upload, download, use, or reuse material that does not comply with these Terms; (g) send or arrange for the sending of advertising or promotional material, including junk mail, chain letters, spam, or similar solicitations; (h) impersonate or attempt to impersonate another person or entity; (i) engage in conduct that restricts or inhibits another person's use or enjoyment of the Services, or that we determine may harm Rae Sera, Shopify, or users of the Services, or expose them to liability.
You also agree not to: (a) upload or transmit viruses or other malicious code that will or may affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, extract, sell, resell, or exploit any part of the Services; (c) collect or track other people's personal information; (d) engage in spamming, phishing, pharming, or pretexting through the Services; (e) access the Services using robots, spiders, scraping tools, data gathering or extraction tools, automatic devices or processes, AI tools such as agentic AI, or automated or manual means; (f) interfere with, bypass, or circumvent security or authorization features, robot exclusion headers, or other measures used to restrict access to the Services. If we determine that you have violated any part of these Terms, we may suspend, disable, or terminate your account at any time without notice.

SECTION 14 - AGENTS

14.1 These provisions (the “Agent Terms”) apply whenever you use, permit, enable, or cause an Agent to access, use, or interact with the Services. An “Agent” is software or a service that, without direct supervision, takes autonomous or semi-autonomous action on behalf of or at the instruction of a person or entity and can be executed on that person's behalf or using that person's device.
14.2 An Agent must not access, use, or interact with the Services unless it identifies itself at all times and operates in strict compliance with section 14.4. An Agent must also refrain from accessing, using, or interacting with any service if we have requested that it do so.
14.3 We may restrict whether and how an Agent accesses, uses, or interacts with the Services, including through technical measures.
14.4 Every Agent must: (i) identify each HTTP/HTTPS request as originating from an Agent and disclose the Agent's name by including “Agent/[agent name]” in the request's user agent string; (ii) refrain from hiding or disguising the fact that its access, use, or interactions originate from an Agent, including by imitating human behavior or interaction patterns, or completing or bypassing CAPTCHAs or other measures intended to distinguish computer use from human use; (iii) answer truthfully any question or prompt intended to determine whether an interaction comes from a human or a computer; (iv) refrain from circumventing or otherwise avoiding measures intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services.

SECTION 15 - TERMINATION

At any time and without notice, we may, in our sole discretion, terminate this agreement or your access to all or any part of the Services. You remain responsible for amounts owed up to and including the termination date.
The provisions on ownership of content and brand assets, Feedback, termination, warranty disclaimers, limitations of liability, indemnification, severability, waiver and the entire agreement, assignment, governing law, and privacy will continue to apply after termination. Any other provision that by its nature should survive termination will also remain in effect.

SECTION 16 - DISCLAIMER OF WARRANTIES

Information on or through the Services is provided for general information only. We do not warrant that it is accurate, complete, or useful. You rely on it entirely at your own risk. We disclaim liability and responsibility arising from reliance on these materials by you, another visitor, or anyone who is informed of their contents.
UNLESS Rae Sera EXPRESSLY STATES OTHERWISE, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THEM ARE PROVIDED FOR YOUR USE “AS IS” AND “AS AVAILABLE.” NO REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, ARE PROVIDED, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT, OR WARRANT THAT USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR FREE FROM ERRORS. SOME JURISDICTIONS RESTRICT OR PROHIBIT DISCLAIMERS OF IMPLIED OR OTHER WARRANTIES; THESE DISCLAIMERS MAY THEREFORE NOT APPLY TO YOU.

SECTION 17 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER Rae Sera NOR OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, NOR THOSE OF SHOPIFY AND ITS AFFILIATES, WILL BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR DAMAGES OF ANY KIND, WHETHER DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL. THIS INCLUDES, WITHOUT LIMITATION, LOST PROFITS, REVENUE, SAVINGS, OR DATA, REPLACEMENT COSTS, AND SIMILAR DAMAGES, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, FROM YOUR USE OF THE SERVICES OR PRODUCTS OBTAINED THROUGH THEM. THIS LIMITATION ALSO APPLIES TO ANY OTHER CLAIM CONNECTED IN ANY WAY WITH YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING ERRORS OR OMISSIONS IN CONTENT AND LOSS OR DAMAGE RESULTING FROM THE USE OF THE SERVICES OR ANY CONTENT OR PRODUCT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THEM. IT APPLIES EVEN IF THE POSSIBILITY OF SUCH DAMAGES HAS BEEN ADVISED.

SECTION 18 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Rae Sera, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers against losses, damages, liabilities, and claims, including reasonable attorneys' fees, payable to third parties and arising from: (1) your breach of these Terms or documents incorporated into them by reference; (2) your violation of a law or a third party's rights; or (3) your access to and use of the Services.
We will notify you of claims subject to indemnification. A delay in notification does not remove your obligations unless it materially prejudices you. We may direct the defense and settlement of a claim, including selecting counsel, at your expense. We will not agree to a settlement that imposes non-monetary obligations on you without your consent, which you must not unreasonably withhold. You agree to cooperate in the defense, including by supplying relevant documents.

SECTION 19 - SEVERABILITY

If a provision of these Terms is found to be unlawful, void, or unenforceable, it will still be enforced to the maximum extent allowed by applicable law. The unenforceable portion will be treated as severed from these Terms, without affecting the validity or enforceability of the remaining provisions.

SECTION 20 - WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision under these Terms does not waive that right or provision.
These Terms, together with the policies and operating rules we post on this website or in relation to the Services, form the entire agreement and understanding between you and us regarding your use of the Services. They replace all prior or contemporaneous agreements, communications, and proposals, whether spoken or written, including earlier versions of these Terms.
An ambiguity in these Terms must not be interpreted against the party that drafted them.

SECTION 21 - ASSIGNMENT

You must obtain our prior written consent before delegating, transferring, or assigning this agreement or any of your rights or obligations under it. Any attempt without that consent is null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without giving you notice or obtaining your consent.

SECTION 22 - GOVERNING LAW

These Terms and any separate agreement under which we provide Services to you are governed by and construed in accordance with the federal and state or territorial courts in the jurisdiction where Rae Sera is headquartered. Both you and Rae Sera consent to venue and personal jurisdiction in those courts.

Headings are included only to make these Terms easier to navigate. They do not limit or otherwise affect the Terms.

SECTION 24 - CHANGES TO TERMS OF SERVICE

The latest version of these Terms is available on this page at any time.
At our sole discretion, we may update, change, or replace any part of these Terms by posting revisions on our website. You are responsible for checking the website periodically for changes. We will notify you of material changes as required by applicable law. Those changes take effect on the date stated in the notice. Continuing to use or access the Services after changes to these Terms have been posted constitutes acceptance of those changes.
